Terms of use
1. Scope
1.1 These Terms of use govern the use of all digital services of Zerovia GmbH, Via Casti 52, 7151 Schluein, Switzerland ("ZEROvia", "we"), in particular the platform zerovia.app, the websites zerovia.ch, zerovia.academy and zerovia.ai, the publicly published profiles and their embed codes.
1.2 By using the services, the company using them ("Customer") accepts these terms.
1.3 For paid services, the Subscription terms also apply. Order of precedence: (1) individual agreement, (2) Subscription terms, (3) DPA, (4) these Terms of use.
2. Services
2.1 ZEROvia is a sustainability platform for SMEs in supply chains. Customers capture their data once, document it and release it per customer. Depending on the package, the platform includes:
- Enable: AI assistant ZAIA, glossary, templates, AI reading of documents, helpdesk;
- Document: baseline assessments, ESG-Selbstauskunft, profile and release per customer, code of conduct, customer requests with AI, VSME report, carbon footprint, product CO₂ (PCF);
- Improve: climate target assistant, reduction pathway, top measures;
- Procure: supplier management, supplier screening, data campaigns for buyers;
- Partner access for fiduciaries, advisers and associations.
2.2 Features marked "planned" are not part of the contractual service.
2.3 Data instead of a rating. ZEROvia does not issue scores, bands or maturity levels and is not a provider of ESG ratings within the meaning of Regulation (EU) 2024/3005.
2.4 ZEROvia does not provide legal or tax advice, audits or certification. Baseline assessments and readiness checks serve as guidance.
2.5 Climate target assistant. The assistant prepares an application under the SBTi criteria for SMEs. It is not reviewed or recommended by the SBTi. ZEROvia does not validate and does not submit applications.
3. Accounts
3.1 An account is required for the platform. Sign-in with two-factor authentication is standard.
3.2 The customer provides correct information, keeps access credentials confidential, assigns roles and rights carefully and prevents unauthorised use.
3.3 Anyone wishing to join a company whose ID has already been assigned needs a matching email domain or the company's consent.
3.4 ZEROvia may block or delete accounts in case of breaches of these terms, security risks or false information.
4. Customer content
4.1 The customer is solely responsible for the content it provides: company data, information, documents, certificates, free text and the data it imports.
4.2 ZEROvia does not check customer content for accuracy, completeness or currency.
4.3 The customer warrants that it holds the rights to the data provided and may transmit and publish it.
4.4 Environmental claims. The customer includes environmental claims, seals and labels only where they are objectively substantiated and verifiable. General terms such as "climate neutral", "green" or "eco-friendly" are permissible only with proof (Directive (EU) 2024/825; Art. 3 Abs. 1 lit. x UWG). Forward-looking statements require documented implementation plans. Own seals without independent certification must not be used.
4.5 AI-supported content. If the customer uses texts or values suggested by the AI, it remains responsible for their accuracy after release. In the public profile, AI-supported content is labelled.
5. Connections and releases
5.1 A buyer can request a supplier. The supplier confirms the connection itself. Until then, the buyer sees only public data.
5.2 The supplier releases data per customer and section. Released data is saved as a version. A release can be revoked at any time and applies to future access.
5.3 ZEROvia does not verify the legitimacy of recipients selected by the customer. For data already downloaded, the recipient is responsible.
5.4 Data campaigns. Buyers send invitations in their own name via ZEROvia ("Buyer name via ZEROvia"). They ensure that they are permitted to use their suppliers' contact details for this purpose. Suppliers can unsubscribe with one click.
5.5 Partner access. Partners work in the client's account after the client has consented and released areas. The client may withdraw the release with 30 days' notice.
6. Public profiles and embedding
6.1 A profile is public when the customer publishes it. The customer determines, field by field, what is public.
6.2 By publishing, the customer consents to indexing by search engines and AI answer engines. ZEROvia outputs the data as structured data (Schema.org). Indexing can only be stopped by unpublishing the entire profile; on request, ZEROvia sets opt-out signals (noindex).
6.3 For embedding, a static code with structured data and a JavaScript widget are available. The customer is responsible for lawful embedding on its website.
6.4 Upon unpublishing or deletion, ZEROvia removes the profile page within 14 days (HTTP status 410). ZEROvia cannot guarantee complete removal from third-party storage.
7. Supplier screening
7.1 The screening analyses public web sources and registers and cites the quotation and source for each finding.
7.2 Findings are indications, not an assessment. The customer reviews them and decides using its own criteria.
8. Data protection
The Privacy policy applies and, to the extent ZEROvia processes data on the customer's behalf, the DPA. Publication of a contact person in the profile takes place in a B2B context; the customer informs that person.
9. Prohibited use
The following are in particular prohibited:
- automated scraping of the platform or public profiles outside the intended interfaces,
- false or misleading information,
- uploading unlawful content or particularly sensitive personal data without a legal basis,
- attacks on systems and circumvention of security functions,
- use of the ZEROvia brand for profiles or statements that do not originate from the platform.
10. Intellectual property
10.1 All rights in software, design, data models, texts, trademarks and methodology belong to ZEROvia or its licensors.
10.2 For AI-supported texts and reports that the customer releases, it receives an unrestricted, unlimited-in-time and royalty-free right of use for its business purposes. Models, prompts and logic remain with ZEROvia.
11. Availability
ZEROvia aims for high availability but does not guarantee it, unless agreed in writing.
12. Liability
12.1 ZEROvia is liable without limitation for damage caused by intent or gross negligence.
12.2 For slight negligence, ZEROvia's liability is limited to the annual subscription fee, or to CHF 100 for Free.
12.3 Unless caused by intent or gross negligence, there is no liability for indirect damage, consequential damage, lost profit, information provided by customers, third-party decisions based on released or published data, or data loss.
13. Changes
ZEROvia may amend these terms. For material changes, we inform customers in advance. The current version is available at zerovia.ch/nutzungsbedingungen/.
14. Applicable law and place of jurisdiction
Only Swiss law applies. The place of jurisdiction is Chur (GR).
