1. scope of application and contractual relationship
1.1 These subscription conditions govern all paid services of theZEROVIA GmbH, Via Casti 52, 7151 Schluein, Switzerland („ZEROvia»).
1.2 They complement theTerms of use der ZEROVIA GmbH. In case of discrepancies, the following priorities apply: (1) Individual contract, (2) Subscription terms, (3) Terms of use.
1.3 They apply exclusively to business customers (B2B).
2. conclusion of contract
2.1 A subscription is concluded by placing an order via the platform, accepting an offer or by using chargeable functions after activation.
2.2 The customer undertakes to provide correct and complete information.
3. scope of services of the subscriptions
3.1 The specific scope of the services is determined by the selected subscription and the applicable service description.
3.2 The subscriptions can include the following functions, among others:
- ESG Quick Check (Maturity Level 1)
- ESG Rating (Maturity Level 2) — 48 questions with evidence classes E0–E4
- VS Basic Report (Maturity Level 3, formerly VSME Basic) — EU Voluntary Standard Basic Module B1–B5
- VS Comprehensive Report (Maturity Level 4, formerly VSME Comprehensive) — EU Voluntary Standard incl. C1–C9
- Profile types: Self-Declared, Verified by ZEROVIA, Validated by External Partner
- Procurement Module
- Supplier Management
- AI Features (Drafting, Consistency Checking, Reporting Assistance)
- API interfaces
- Upload and Document Management
- Embed Codes for Integrating Published Profiles
3.3 ZEROVia can extend, customize, or improve functionalities as long as the essential contractual benefit is maintained. In particular, with the entry into force of the EU Voluntary Standard (VS) — expected in July 2026 — ZEROVia will gradually transition maturity levels 3 and 4 to VS. Existing VSME profiles will remain backward compatible and will be migrated without additional effort.
3.4 Verifications and validations are always Separate, chargeable additional services.
4. ESG verifications and validations
4.1 Verification by ZEROvia („Verified by ZEROvia“)
4.1.1 The verification involves a formal examination of documents and information. The specific scope of the examination is defined in the Verification SLA (Appendix A).
4.1.2 It represents No material ESG check, no certification, and no audit represent.
4.1.3 For implementation, a explicit opt-in of the customer is required.
4.1.4 ZEROvia is liable for verification errors only in cases of intent and gross negligence. The formal review includes, in particular: plausibility and timeliness of uploaded documents, conformity with the customer's self-declarations, and completeness of mandatory fields for the respective maturity level. The review does not include: factual accuracy of ESG statements, assessment of ESG performance, or timeliness verification of external certificates beyond their validity period.
4.2 Validation by external partners („Validated by External Partner“)
4.2.1 Validations are carried out by external testing organizations and are invoiced separately.
4.2.2 A contract for validation is concluded directly between the customer and the external validation partner.
4.2.3 ZEROvia acts exclusively as a technical platform provider and assumes no liability for validation judgments.
4.2.4 ESG data is only passed on to validation partners after opt-in.
4.3 Period of validity
Verified and validated ESG profiles have a defined validity period. After expiration, they will be marked accordingly. Standard validity: 12 months for Verified-by-ZEROvia, as agreed for Validated-by-External-Partner.
5. opt-in for the transfer of ESG data to third parties
5.1 The customer can voluntarily release ESG data to third parties such as banks, insurance companies, large companies or validation partners.
5.2 The release shall only take place with the express consent of the customer (opt-in).
5.3 The customer guarantees that he has the necessary rights and consents to pass on the data.
5.4 ZEROvia does not check the legitimacy of the recipient.
5.5 Revocation only applies to future access.
5.6 For publicly published profiles, Section 6.8 of the Terms of Service (machine indexing by search engines and AI response engines) also applies.
6 Prices and terms of payment
6.1 The prices are based on the current price list or the individual offer.
6.2 All prices are exclusive of VAT.
6.3 Invoices are payable within 30 days.
6.4 In case of payment default, ZEROvia may restrict or block access.
7 Contract duration and termination
7.1 Subscriptions run from the activation date for the agreed duration.
7.2 They are automatically extended if they are not canceled.
7.3 Notice of termination must be given within the contractually stipulated period.
7.4 An extraordinary termination by ZEROvia is possible in case of:
- serious breaches of contract,
- unlawful release of data,
- continued default in payment,
- security-relevant incidents,
- proven greenwashing violations or regulatory sanctions due to content published on the platform by the customer.
8 Warranty and further development
8.1 ZEROvia operates the platform with due diligence, but does not guarantee uninterrupted or error-free availability.
8.2 In addition, ZEROvia assumes no responsibility for:
- the regulatory suitability of ESG data,
- the accuracy of content entered by the customer,
- specific business or ESG-related outcomes,
- The factual accuracy of AI-generated text drafts after customer approval.
8.3 ZEROvia may adapt, modernize, or replace functions. In particular, the conversion from VSME to the EU Voluntary Standard (VS) is part of the ongoing modernization and does not constitute a significant contract amendment as long as backward compatibility is maintained.
9. liability
9.1 ZEROvia is only liable for damages caused by intentional or grossly negligent behavior.
9.2 Liability for slight negligence as well as for indirect damages, consequential damages or loss of profit is excluded.
9.3 No liability exists for:
- incorrect, incomplete or misleading information provided by the customer,
- Validation assessments of external partners,
- economic decisions of third parties,
- Data loss, unless caused by gross negligence,
- official sanctions or civil consequences due to content released by the customer (including content created with AI).
9.4 The upper liability limit is the amount of the annual subscription fee.
10. data protection
10.1 the processing of personal data is carried out in accordance with thePrivacy policy ZEROvia GmbH.
10.2 If ZEROvia processes personal data on behalf of the customer, the following also applies:Data processing agreement (DPA) the ZEROvia GmbH, which is an integral part of the contractual relationship.
10.3 The DPA regulates, among other things:
- Nature and purpose of data processing,
- Rights and obligations of the parties,
- Safety measures,
- Subcontractor (including AI model provider),
- international data transmission.
10.4 AI model providers used are named in the privacy policy. Customer data is not used for training publicly accessible models.
11. service level agreement
11.1 ZEROvia provides all services according to theBest-effort principle. There are no guaranteed availability or response times, unless otherwise agreed in writing.
11.2 ZEROvia strives to resolve disruptions promptly and ensure ongoing platform operations.
11.3 Individual SLA agreements can be concluded for major customers or partners with increased requirements.
11.4 For „Verified by ZEROvia» profiles, the verification SLA applies as per Appendix A.
12. confidentiality
12.1 Both parties undertake not to disclose confidential information to unauthorized third parties.
13. changes to the subscription conditions
13.1 ZEROvia can change these subscription terms. The current version will be published on the website.
13.2 ZEROvia will inform the customer sufficiently in advance of any significant changes.
14 Applicable law and place of jurisdiction
14.1 It applies exclusivelySwiss law.
14.2 The place of jurisdiction for all disputes isChur (GR).
Appendix A — Verification SLA „Verified by ZEROvia»
This annex is part of the subscription terms and conditions v3.1.
A.1 Subject Matter.
The formal examination of ESG information and documents provided by the customer for a „Verified by ZEROvia» profile.
A.2 Scope of the audit (what we are auditing).
- Completeness of the required fields defined for each stage of maturity.
- Plausibility of numerical data (e.g., number of employees, revenue, GHG emissions) against internal benchmarks.
- Existence and formal correctness of uploaded documents (PDF readability, issuer information, scope, validity date).
- Reconciliation between receipts and corresponding self-declarations.
- Consistency between master data (UID, DUNS, address) and external registers (e.g., Zefix, D&B).
A.3 Scope of Testing (What We Do Not Test).
- Substantive accuracy of ESG statements.
- Assessment of the company's sustainability performance.
- Compliance with third-party certification requirements (ISO, B Corp, EcoVadis, etc.).
- Timeliness of external certificates beyond the validity date indicated in the profile.
A.4 Reaction Times.
- Acknowledgement: 1 business day.
- Initial review: 10 business days from acknowledgment of receipt.
- Customer response to inquiries: 15 business days; verification will be paused thereafter.
- Completion after clarification of queries: 5 business days.
A.5 Result.
Verified / Verified with reservation / Not verified. The result will be shown in the profile.
A.6 Liability.
ZEROvia is liable for formal verification errors only in cases of intent and gross negligence. Liability is limited to the verification fees paid during the verification period.
A.7 Validity.
The formal verification is valid for 12 months from the date of the result.
